Terms of Services

Last updated July 28, 2026

Section 1 – Introduction and Consent to Terms

IMPORTANT: This Agreement affects your legal rights and contains a binding arbitration provision.

1.1 Agreement and Parties. These Terms of Service (this “Agreement”) are entered into between Decatur Deep Clean LLC (“Company”) and the customer purchasing or using the Services (“Customer” or “you”). Company and Customer may be referred to individually as a “Party” and collectively as the “Parties.”

1.2 Acceptance. This Agreement is legally binding. By requesting, booking, purchasing, or using Company’s home-cleaning services (the “Services”), Customer acknowledges that Customer has read, understood, and agreed to this Agreement.

1.3 Important Notice. THIS AGREEMENT AFFECTS CUSTOMER’S LEGAL RIGHTS AND CONTAINS A BINDING ARBITRATION PROVISION. CUSTOMER SHOULD READ THIS AGREEMENT, INCLUDING THE ARBITRATION PROVISION, CAREFULLY BEFORE ENGAGING COMPANY.

Section 2 – Exploring Services and Initial Consultation

2.1 Quotes and Estimates. If you think Company might be a good fit for your needs, please contact Company to receive a quote for your proposed job(s). All of the quotes Company provides are estimates only and are based on the estimated scope of work and the condition of the home as described at the time of booking. While Company endeavors to provide you with the most accurate quote possible, sometimes jobs end up being far larger than is represented to Company or something out of Company’s control may cause the quote Company gives you to increase.

2.2 Changes to Quotes. Prior to charging you an increase in the quote provided, Company will notify you in writing of the increase in charge which you will be required to accept before Company moves forward. All increases, if any, will be invoiced to you at the end of your project(s).

Section 3 – Performance of Services

3.1 Scope of Services. Company agrees to perform the Services listed on your quote. If one or more of the services you need are not listed on your quote, it is your responsibility to ensure that all necessary work is included. Company’s quote is based on the services listed on your quote.

3.2 Company Engagement. All work provided by Company will be done by one or more of Company’s agents. When you hire Company to provide the Services, you are hiring Company and not one of Company’s employees, agents, or other workers.

3.3 Scheduling Estimates. All times provided for the Services are estimates only. While Company does its best to ensure that Company arrives on time, Company cannot guarantee an exact time of arrival or departure. Sometimes issues do pop up which may cause Company to be tardy, delayed, or require a rescheduling. If something does come up, Company will endeavor to communicate to you as soon as Company can.

3.4 Personnel Changes. Company reserves the right to change the person or persons handling the Services for you. Any change in the person or persons handling the Services for you will not entitle you to a reduction in cost, a pause or cancellation of Company’s services, or otherwise. If you request someone specific to provide the Services, Company will do Company’s best to provide you that person(s) but cannot guarantee their availability.

3.5 Access. You agree to give Company access to your home or other place where Company’s Services will be provided. Any inability to provide the Services based on an inability to access your home or other place where the Services will be provided will be borne solely by you.

3.6 Acceptance of Services. Company recommends — but does not require — that you are home before and after the Services are finished so that you can review the job Company performed and advise Company if any changes are needed. If you are not home at the conclusion of the Services, the Services will be deemed completed and accepted by you upon Company exiting your home.

3.7 Other Workers Present. Company cannot guarantee the quality of Company’s work if there are additional unaffiliated workers present in the home during the time the Services are being performed. This includes, but is not limited to, movers, handymen, contractors, and any other person performing any type of work on the property simultaneously. If you choose to have other workers present, you acknowledge and accept any resulting limitations on Company’s work quality and any re-cleaning that may be required.

3.8 Scope Exclusions. The following are not included in any standard cleaning package unless expressly quoted and agreed upon in writing:

3.9 Wall Washing. None of Company’s cleaning packages include washing walls. Wall washing may be added as an optional service at a rate of $68.00 per hour, per cleaner.

3.10 Tile Grout and Caulking. Company does not deep clean tile grout or caulking as part of standard service. Proper tile grout cleaning requires a specialized service. Old or moldy caulking around tubs, showers, and sinks requires removal and re-caulking, which is outside Company’s scope. Company can attempt to clean affected areas but cannot guarantee any specific results.

3.11 Interior of Dishwashers. Company does not clean the interior of dishwashers. Company does clean the exterior.

3.12 Exterior Surfaces. Company does not perform any exterior cleaning, including but not limited to exterior windows, hardscape, driveways, or outdoor areas.

3.13 Compliance with Law. At all times, Company shall act in accordance with all applicable laws, rules, and regulations in performing the Services.

Section 4 – Terms of Purchase

4.1 Quote Period. Quotes are provided to you free of charge. Quotes expire after thirty (30) days. If you decide to move forward with Company, Company looks forward to working with you!

4.2 Purchase Options. Company offers three options for purchasing the Services:

4.3 Flat-Fee Services.  Company offers the Services to you based on a flat-fee agreement for the proposed work. The flat fee offered to you will depend on the nature of the work, the amount of time to complete, the amount of workers necessary, and other items in Company’s sole discretion. The Flat Fee is subject to change based on changes in the nature of the work being performed (see Section 2).

4.4 Hourly Services. Company also offers the Services to you based on the time spent working on your Services (“Hourly Services”). All Hourly Services will be provided to you on an ‘as-needed’ basis and at your direction. Company’s Hourly Services will be provided at the hourly rate specified in your quote. All time is billed to you in fifteen (15) minute increments.

4.5 Hourly-Service Completion Notice. Important Notice Regarding Hourly Services: If you have selected an hourly cleaning, the Cleaning Team will clean as much as possible within the time purchased. Company cannot guarantee that every requested task will be completed within the allotted time. If additional time is needed and desired, it may be added at a rate of $68.00 per hour, per cleaner, provided the request is made before the Cleaning Team departs. Once the Cleaning Team has left the property, no additional time may be added to that appointment.

4.6 Recurring Cleaning Services. Company offers weekly or monthly recurring services (Company’s “Recurring Cleaning Service”). Company’s Recurring Cleaning Service inclusions and costs will vary depending on your needs, customization, and a number of other factors in the Parties’ discretion.

4.7 Automatic Renewal. Each Recurring Cleaning Service plan is recurrent and will automatically renew without any action by you. You will be charged in accordance with the plan you select. If you want to terminate your Recurring Cleaning Service, you need to terminate the Services in accordance with this Agreement. Each Recurring Cleaning Service is subject to the below provision titled Cancellation & Returns.

Section 5 – Deposit

5.1 Deposit Requirement. If required, you agree to pay to Company an initial deposit to reserve Company for the selected dates, timeframe, or otherwise (a “Deposit”) in an amount to be determined by Company, commensurate with the scope of anticipated work, difficulty, etc.

5.2 Deposit Timing. If required, the Deposit must be paid to Company soon after engaging Company to perform the Services.

5.3 Application and Refundability. You understand and agree that if a Deposit is required, you will not reserve Company until the Deposit is paid. Subject to the Cancellation section, below, your Deposit shall be non-refundable and shall be applied to the total balance owed. No interest will accrue on your Deposit.

Section 6 – Payment, Billing, and Other Charges

6.1 Prices and Payment Methods. All prices for the Services are stated in U.S. dollars. Company accepts most forms of payment, including, but not limited to, Zelle, credit card, and debit card.

6.2 Changes to Services and Pricing. Company reserves the right to change the Services or any

Recurring Cleaning Service at any time, including the cost, provided that Company will give Customer thirty (30) days’ advance written notice of changes to the amounts or other charges associated with Customer’s Services. Company reserves the right to refuse Services to anyone for any reason and to discontinue certain Services at any time.

6.3 Payment Information. When Customer provides payment information, Customer represents and warrants that the information is accurate, that Customer is authorized to use the payment method provided, and that Customer will notify Company of any changes. Company reserves the right to use third-party payment-card updating services to obtain current expiration dates for credit and debit cards.

6.4 Payment Authorization and Declined Payments. By providing a credit card, Customer represents and warrants that Customer authorizes Company to charge the payment method for all charges incurred for the purchase of Services. Customer is responsible for all such charges. If a payment is denied, Customer will be responsible for a fifty-dollar ($50.00) administrative fee, which is intended to reimburse Company for its reasonable administrative costs in contacting Customer for a new form of payment and is not intended as a penalty. Failure to maintain a valid payment method does not cancel a Recurring Cleaning Service, which will continue until cancelled in accordance with this Agreement.

6.5 Recurring Payment Authorization. If Customer enrolls in a Recurring Cleaning Service, Customer expressly acknowledges and agrees that: (a) Company, or Company’s third-party payment processor or application, is authorized to charge Customer on a monthly or other applicable basis for the price of the Recurring Cleaning Service, including taxes and other fees, for as long as the Recurring Cleaning Service continues; and (b) the Recurring Cleaning Service is continuous until Customer cancels it or Company suspends or terminates it.

6.6 Untimely Cancellation Charges. Customer is responsible for all charges associated with an untimely cancellation.

6.7 Invoice Due Date; Late Payments. All invoices are due and payable within forty-eight (48) hours of the date of the invoice. Any invoice, or portion thereof, that is not paid in full within that period will accrue interest at three percent (3%) per month until paid in full. Once an invoice is thirty (30) days past due, Company may transfer the invoice, account, and past-due amounts to a collection agency or attorney. Company is entitled to recover all costs and fees incurred in collecting the past-due balance, including reasonable attorney’s fees.

6.8 Chargebacks and Payment Disputes. If Customer submits an improper or unfounded chargeback or payment dispute after the Services have been properly performed in accordance with this Agreement, Customer remains responsible for: (a) the unpaid balance for the Services; (b) all chargeback fees and payment-processor fees incurred by Company; (c) a three-hundred-dollar ($300.00) Chargeback Administration Fee intended to reimburse Company for the administrative time and expense reasonably required to investigate and respond to the dispute; and (d) reasonable attorney’s fees and collection costs, where permitted by applicable law. This provision is intended to reimburse Company for costs and expenses arising from an improper or unfounded dispute and is not intended to impose a penalty.

Section 7 – Warranties of Services Performed

7.1 Service Warranties. Company represents and warrants to you that:

7.2 Professional Standards. The Services will be performed in a professional manner, consistent with or exceeding industry standards; and

7.3 Liability Insurance. Company has industry standard liability insurance covering issues that may arise from performance of the Services.

Section 8 – Cancellation, Refunds, and Satisfaction Guarantee

8.1 Final Sales and Refunds. All sales are final. Company does not provide refunds under any circumstances.

8.2 Cancellations. Cancellations. All cancellations or changes to the date of the Services must be made by you no later than twenty-four (24) hours prior to your scheduled start time.

8.3 Cancellation While En Route. Cancellation while the Cleaning Team is en route: A trip fee of $68.00 will be charged. Any remaining balance paid will be refunded.

8.4 Cancellation After Arrival. Cancellation after the Cleaning Team has arrived on-site: No refund will be issued.

8.5 Cancellation Within 24 Hours. Cancellation within 24 hours of scheduled start time (before the Cleaning Team is en route): Company is entitled to retain your Deposit, which will be applied toward your next booking with Company. No cash refund shall be issued.

8.6 Recurring-Service Cancellation. You may cancel your Recurring Cleaning Service at any time by emailing Company at support@decaturdeepclean.com.

8.7 Satisfaction Guarantee. Company offers a satisfaction guarantee for all jobs Company services (referred to herein as “Satisfaction Guarantee”). If your job was not completed to your satisfaction, Company will return to re-do the work performed within forty-eight (48) hours of your written notice of dissatisfaction. If you do not report your dissatisfaction within forty-eight (48) hours and give Company a chance to re-do the work performed within that window, you will have no entitlement to Satisfaction Guarantee.

Section 9 – Workplace Protections

9.1 Worker Safety. Ensuring that Company’s workers are safe while performing the Services is of utmost importance to Company. Due to this, Company does not permit the following work to be done:

9.2 Two-Step Ladder Limit. Cleaning beyond what is reachable from a two-step ladder. Company’s liability insurance prohibits Company’s cleaners from performing tasks that require reaching beyond what is safely accessible from a two-step ladder. For tasks requiring greater reach, Company recommends using a licensed professional handyman or window washer.

9.3 Biohazards. Cleaning of biohazard substances;

9.4 Infestations. Cleaning of area(s) infested with insects or other animals (not pets);

9.5 Mold and Toxins. Cleaning areas with mold or other toxins; or

9.6 Other Unsafe Tasks. Any other task(s) that could jeopardize the health, wellness, or safety of Company’s workers, not to be unreasonably applied.

9.7 Undisclosed Pest Infestation. If a pest or bug infestation (including, but not limited to, bed bugs, roaches, fleas, or termites) is not disclosed prior to Company’s arrival, Company reserves the right to refuse service upon entry, without issuing a refund. Failure to disclose an infestation before your scheduled service will be considered a violation of Company’s policies due to the health, safety, and contamination risks it poses to Company’s staff and other clients.

Section 10 – Limitations of Engagement

10.1 General Limitations. While Company promises a high standard of quality when performing the Services, there are some limitations to Company’s engagement, which include but are not limited to:

10.2 Pets. Pets. It is your responsibility to ensure that your pets are cared for during the Services. Company does not assume any liability for the health and safety of your pets outside of gross negligence. For example, if your pet drinks a cleaning solution while Company is working and gets sick, this is not something Company is responsible for nor can accept liability for.

10.3 Personal Property and Valuables. It is your responsibility to ensure that all personal property can be cleaned with Company’s cleaning solutions. Prior to Company’s arrival, please put away wallets, jewelry, cash, sensitive documents, and any other valuables to ensure nothing gets misplaced or damaged during the cleaning process. It is also your responsibility to ensure that all irreplaceable or specialty items are pointed out to Company or removed from the cleaning area. Company does not assume any liability for personal property that is damaged as a result of being cleaned. It is your sole responsibility to ensure that (i) Company is informed of what cannot be cleaned; and (ii) you remove said items from the cleaning area(s). For example, if you have a specialized finish on your kitchen table that Company is not advised of and that reacts poorly to Company’s cleaning solution(s), this is not something Company is responsible for nor can accept liability for.

10.4 Fixtures. Fixtures. It is your responsibility to ensure that all fixtures and other home décor are in good working order. Company does not assume any liability for fixtures and other home décor that are not in good working order. For example, if one of Company’s agents wipes down your blinds and they fall and break from simple cleaning, this is not something Company is responsible for nor can accept liability for.

10.5 Damage Claims. Company is not liable for any damage arising from or related to the performance of the Services. All damage-related claims are subject to the Limitation of Liability provisions set forth in Section 16 of this Agreement.

10.6 Security Deposits. Company is not responsible for the outcome of any security deposit evaluation, determination, or dispute between you and any landlord, property manager, buyer, or other third party. Company makes no representations or guarantees regarding the sufficiency of the Services to satisfy any third-party property condition requirements.

10.7 Move-In and Move-Out Cleanings. Move-in and move-out cleaning services are subject to the following additional terms:

10.8 Property Access. Access to the property is required in order for Company to honor Satisfaction Guarantee. If you are handing over keys to a property manager, buyer, landlord, or agent, you must provide their contact information to Company in advance so that Company may coordinate directly with that party if any issues need to be addressed.

10.9 Key Turnover. If keys are turned in and Company no longer has access to the property, Satisfaction Guarantee is considered fulfilled and no refunds will be issued.

10.10 Move-In Timing. For move-in cleanings, if movers arrive immediately following Company’s service and items are placed in the home before any concerns are reported to Company, you agree that any necessary touch-ups will be completed after move-in to the best of Company’s ability. Refunds are not issued when access is unavailable or restricted due to key turnover or move-in timing.

10.11 Unexpected Property Conditions. Company’s pricing is based on the condition of the property as described at the time of booking. If the Cleaning Team arrives and the home requires significantly more time due to undisclosed or materially different conditions, Company will notify you immediately. This includes, but is not limited to, major grease buildup on kitchen cabinets, stovetops, or vent hoods. At that point, you may either: (i) approve additional time at an adjusted rate; or (ii) have Company complete as much as possible within the original scope of the booking. Company will not proceed beyond the original scope without your express authorization.

Section 11 – Reviews and Required Cure Period

11.1 Reviews. If you are happy with the Services, Company highly encourages you to leave a review on an online platform of your choosing. Reviews are how potential clients see Company’s past work and are part of how Company continues to grow Company’s business.

11.2 Truthfulness. If you are unhappy with the Services and decide to leave a negative review on Company’s page, please ensure that your review is truthful. Please be advised that if you leave an untruthful review on one of Company’s online platforms, Company reserves the right to pursue you for any damage or loss sustained by Company, including recovery of attorney’s fees. For your information, the State of Nevada presumes damages when a false statement is made that implies a “lack of fitness for a particular business or profession.”

11.3 Opportunity to Cure. By using the Services, you explicitly agree that if you are dissatisfied with the Services and do not give Company an opportunity to re-do the work to your satisfaction, you will not leave a negative review about Company, its owners, employees, or other agents on any online platform or otherwise electronically post, communicate, or comment on the Services in any negative manner to any third parties, whether directly or indirectly.

11.4 Seventy-Two-Hour Cure Period. By using the Services, you further agree that Company is granted a seventy-two (72) hour cure period to fix, re-do, or remedy any Services not completed to your satisfaction. You agree that this seventy-two (72) hour cure period is reasonable and was bargained for in the negotiation of this Agreement.

11.5 Liquidated Damages. If you leave a negative review on any online platform or otherwise electronically post, communicate, or comment on the Services in any negative manner to any third parties without providing Company’s contractual seventy-two (72) hour cure period, you agree that you will be in breach of this Agreement and that Company will have incurred damages in the estimated amount of ten thousand dollars ($10,000) (referred to herein as the “Liquidated Damages”). You agree that these Liquidated Damages are not a penalty for non-compliance and are not intended to frustrate your ability to leave a truthful review about Company, but are rather reasonable and estimated damages resulting from your breach of this Agreement and will compensate Company for the goodwill, reputational, and general business damages resulting from your failure to provide Company with its contractual seventy-two (72) hour cure period. You agree that the Liquidated Damages are reasonable and were bargained for in the negotiation of this Agreement.

11.6 Other Remedies. Nothing in this Section or otherwise will waive Company’s right to pursue you for actual damages or other relief, whether in equity or at law.

11.7 Customer Unavailability. Finally, you agree that if you are unavailable, for any reason, during Company’s contractual seventy-two (72) hour cure period, the cure period will be tolled during your unavailability and all required timeframes will be adjusted accordingly.

Section 12 – No Solicitation of Workers

12.1 Non-Solicitation. By hiring Company, you agree not to solicit or encourage any person(s) employed by Company to not go through Company and work with you, directly or indirectly. Company requires this due to the amount of time and effort Company puts into finding, interviewing, training, and managing Company’s workers.

12.2 Remedies. If you solicit or encourage Company’s workers to not go through Company and work directly with you, or if you work directly with Company’s workers in any capacity, you expressly agree that Company will incur irreparable damages as a result, the exact amount of which will be difficult to measure. Therefore, you agree that if you breach this Section, you agree to pay to Company liquidated damages in the amount of one thousand dollars ($1,000.00) per violation, in addition to any other available remedies available to Company. Both parties agree that this liquidated damages provision is not a penalty but a fair estimation of the damages Company will incur as a result of your breach of this Section.

12.3 Acknowledgment. This paragraph was bargained for in hiring Company to provide the Services.

Section 13 – Photographs and Videos

13.1 Authorization. By using Company for the Services, Customer expressly authorizes Company to take photographs and videos of the work performed for marketing, advertising, and promotional purposes, including use on Company’s website and social-media accounts. This authorization includes before-and-after photographs and videos.

13.2 No Compensation; Customer is not entitled to any royalty or similar compensation arising from any permitted use. Nothing in this Agreement requires Company to use any photograph or video taken before, during, or after a job.

13.3 Ownership and Copyright. All photographs and videos taken by or on behalf of Company in connection with the Services remain Company’s property. Company owns all copyrights and related intellectual-property rights in those photographs and videos, and Customer acknowledges Company’s ownership of those rights.

Section 14 – Intellectual Property

14.1 Company Intellectual Property. All logos, trademarks, service marks, photographs, videos, website content, graphics, documents, marketing materials, branding materials, text, and other intellectual property created by or for Company, including all associated copyrights and other proprietary rights (collectively, “Intellectual Property”), are and remain Company’s exclusive property or are licensed to Company.

14.2 Restrictions on Use. Customer may not, and may not cause or encourage any other person to, copy, reproduce, distribute, display, sell, transfer, assign, license, modify, create derivative works from, use for commercial purposes, or otherwise use Company’s Intellectual Property without Company’s prior written permission. All rights not expressly granted in this Agreement are reserved by Company.

14.3 Marks. Company’s name, logos, slogans, trademarks, and service marks (collectively, “Marks”) are owned by Company or licensed to Company. Customer may not use any Mark, logo, graphic, or other branding material provided by Company without Company’s prior written permission.

Section 15 – Disclaimer

15.1 Disclaimer of Warranties. THE SERVICES ARE PROVIDED ‘AS IS’ AND, TO THE EXTENT PERMITTED BY APPLICABLE LAW OR AS INCLUDED IN THIS AGREEMENT, COMPANY AND ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AND REPRESENTATIVES EXCLUDE ALL REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, SATISFACTORY QUALITY, AND FITNESS FOR A PARTICULAR PURPOSE.

15.2 Disclaimer of Loss or Damage. COMPANY EXPRESSLY DISCLAIMS ANY LIABILITY FOR LOSS OR DAMAGE SUSTAINED BY YOU AS A RESULT OF USE OF THE SERVICES.

15.3 Service Concerns. WHILE COMPANY ENDEAVORS TO PROVIDE THE BEST SERVICES POSSIBLE, YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT NO SERVICE PROVIDED IS PERFECT. IF YOU ARE UNHAPPY WITH THE SERVICES PROVIDED TO YOU, PLEASE CONTACT COMPANY AND COMPANY WILL DO COMPANY’S BEST TO RESOLVE YOUR ISSUE(S).

Section 16 – Limitation of Liability

16.1 Excused Delay. Company shall not be liable for delay or failure in performance for causes beyond Company’s control or any other damage which does not result from a breach of Company’s obligations under this Agreement.

16.2 Damages Limitation. COMPANY SHALL NOT BE LIABLE TO YOU FOR INDIRECT, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, EVEN IF COMPANY WAS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, NOR SHALL COMPANY BE HELD LIABLE FOR DELAY OR FAILURE IN PERFORMANCE RESULTING FROM CAUSES BEYOND COMPANY’S REASONABLE CONTROL. IN NO EVENT SHALL COMPANY’S TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES AND CAUSES OF ACTION EXCEED THE TOTAL AMOUNT YOU PAID COMPANY FOR THE SERVICES.

16.3 One-Year Claim Period. YOU AGREE THAT NO CLAIMS OR ACTION IN CONTRACT, WARRANTY, OR IN TORT (INCLUDING NEGLIGENCE) ARISING OUT OF, OR RELATED TO, THE USE OF THE SERVICES OR THIS AGREEMENT MAY BE BROUGHT MORE THAN ONE (1) YEAR AFTER THE CAUSE OF ACTION RELATING TO SUCH CLAIM OR ACTION AROSE.

Section 17 – Indemnification

17.1 Mutual Indemnification. Each party shall indemnify, defend and hold harmless the other and their directors, officers, owners, managers, employees and agents from and against any and all losses, damages, liabilities, reasonable attorney fees, court costs, and expenses (collectively “Losses”), joint or several, resulting or arising from any claims, actions, proceedings, or litigation relating to or arising from (a) use of the Services; (b) that party’s breach of this Agreement; or (c) applicable law.

Section 18 – General Provisions

18.1 Entire Agreement. This Agreement contains the entire agreement between you and Company except for those inclusions found within a quote.

18.2 Waiver. The failure by Company to enforce any provision of this Agreement shall not be construed as a waiver or limitation of Company’s right to subsequently enforce and compel strict compliance with every provision of this Agreement.

18.3 Assignment. You may not assign, pledge, delegate, or otherwise transfer any of your rights or obligations under this Agreement without Company’s prior written consent.

18.4 Relationship. Nothing in this Agreement shall create, or is intended to create, an agency, employment, franchise, joint venture, or partnership relationship between you and Company. Company will be responsible for all tax withholdings and payments arising out of the Services.

18.5 Applicable Law and Dispute Resolution. This Agreement shall be governed by the laws of the State of Nevada. Except for non-payment by you or if you leave an untruthful review or a review without providing Company’s contractual notice to cure, all other disputes arising from or in connection with this Agreement shall be subject to binding arbitration, through JAMS, the location of which shall be in Las Vegas, Nevada. The prevailing Party in any dispute arising out of this Agreement shall be entitled to recover its/his/her reasonable attorney’s fees and costs.

18.6 Waiver of Class Action. To the extent permitted by applicable law, you and Company agree that any dispute arising out of this Agreement or the Services provided by Company is personal to you and Company and that any disputes, if any, will be resolved solely through individual arbitration and will not be brought as a class arbitration, class action, or any other type of similar proceeding.

18.7 Severability. If any provision of this Agreement shall be held to be invalid or unenforceable for any reason, the remaining provisions shall continue to be valid and enforceable.
